1. Who we are
Essential Toolkits is a sole trader business based in the United Kingdom.

In these terms, “we”, “us” and “our” mean Essential Toolkits. “You” means the person or organisation buying or using the products.
2. Definitions
- Site means essentialtoolkits.com and any sub-domain we operate (for example, perform.essentialtoolkits.com).
- Products means the digital learning materials we sell, including scenario games, diagnostic self-assessment tools and team assessment tools.
- Downloadable Product means a Product delivered as a self-contained HTML file or similar that you host yourself.
- Hosted Product means a Product we host on your behalf (currently the PERFORM Team Assessment).
- Licence means the right to use a Product as described in these terms.
- Internal Users means people directly employed by your organisation, or contractors working on your behalf and bound by equivalent confidentiality obligations.
3. The agreement between us
Placing an order forms a contract between you (or the organisation you place the order on behalf of) and us, on these terms. By completing an order you confirm you have authority to bind your organisation if you are buying on its behalf, and that you accept these terms.
We may refuse to accept an order at our discretion — for example, if there is an obvious pricing error, if we suspect fraud, or if we cannot verify the buyer’s identity.
4. What you’re buying
Each Product is a digital learning resource. The product page sets out what each one includes — for example, the questions a diagnostic tool contains, the scenarios in a scenario game, or the dimensions a team assessment measures.
We try to describe Products accurately, but small differences between the demo and the final delivered version may occur. We do not promise the Products are suitable for every organisation or every use case — the free demos are there for you to verify suitability before buying.
5. Your licence
When you buy a Product, we grant you (or your organisation) a perpetual, non-transferable, non-exclusive licence to use that Product for internal training purposes, subject to these terms.
The licence allows you to:
- Deploy the Product on your own learning management system (LMS), intranet or any other internal platform.
- Make it available to an unlimited number of Internal Users.
- Use it indefinitely — there are no annual renewal fees.
- Make minor configuration adjustments (such as adding your organisation’s logo) where the Product is technically designed to allow this.
The licence does not allow you to:
- Resell, sublicense, lease, lend or otherwise distribute the Product to anyone outside your organisation.
- Make the Product available to the general public, to clients of your business, or to any other third party, whether free or paid.
- Remove or alter any copyright, trademark or attribution notices.
- Reverse engineer, decompile or extract the underlying content for use in another product.
- Use the Product to create a competing or substantially similar product.
If you are a learning & development consultant or training provider and you wish to use a Product with your end clients, this requires a separate commercial arrangement — please contact us to discuss.
6. Price and payment
Prices on the Site are in pounds sterling (GBP) and may include or exclude VAT depending on your location. The checkout will show the final price including any taxes before you confirm the purchase.
We use Lemon Squeezy (Lemon Squeezy LLC) as our merchant of record. This means Lemon Squeezy processes payments, calculates and remits sales tax / VAT on our behalf, and issues a tax-compliant invoice. Their terms and privacy policy apply to the payment transaction itself.
We accept the payment methods supported by Lemon Squeezy at the time of your order.
7. Delivery
For Downloadable Products, you receive an email with a download link as soon as your payment is processed. The link allows you to download the file. Please save a copy — the link may expire or be capped to a reasonable number of downloads to prevent abuse.
For the Hosted Product (PERFORM), you receive a licence key and instructions for accessing the dashboard at perform.essentialtoolkits.com. Your licence remains active indefinitely.
If you do not receive your delivery email within one hour of purchase, please check your spam folder, then contact us at hello@essentialtoolkits.com.
8. Cancellations and refunds
Our refund policy is set out in full on the Refund Policy page. Key points:
- Every Product has a free, fully playable demo on the Site so you can verify quality and fit before buying.
- For Downloadable Products: by purchasing and accessing the download, you agree to immediate delivery and acknowledge that this waives the standard 14-day cancellation right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, where applicable.
- If a Product is materially defective and we cannot resolve the issue, we will issue a refund.
- For the Hosted Product, refund eligibility is described in the Refund Policy.
Nothing in these terms affects your statutory rights as a consumer where they apply.
9. Acceptable use
You agree not to use the Site or the Products to:
- Break any law or regulation, including data protection law.
- Infringe anyone’s intellectual property or privacy rights.
- Send spam, malware, or attempt to compromise the Site or our infrastructure.
- Use the Hosted Product to collect or process any personal data you are not lawfully entitled to process.
- Mislead anyone about the source of the Products or claim authorship of the underlying content.
10. Intellectual property
All intellectual property in the Products and the Site — including text, scenarios, questions, scoring logic, design, code and trademarks — is owned by Essential Toolkits or our licensors. The licence in section 5 does not transfer ownership of any intellectual property.
Feedback or suggestions you send us about the Products may be used by us to improve them, free of charge and without obligation, unless we agree otherwise in writing.
11. Warranties and disclaimers
The Products are designed to support learning and development. They are not a substitute for legal advice, regulated professional advice (medical, psychological, HR or otherwise), or independent decision-making. References to UK law, ACAS guidance, ICO guidance, the Equality Act and similar are accurate to the best of our knowledge at the time of publication, but laws change and your situation may differ — you should take qualified advice before acting on anything covered in a Product.
Diagnostic and assessment tools produce indicative results based on self-reported responses. They are not psychometric instruments and should not be used as the sole basis for selection, promotion, performance management or any other significant employment decision.
The Site and the Products are provided “as is”. We do not promise they will be uninterrupted, error-free, or fit for any specific purpose beyond the description on the product page.
12. Limitation of liability
Our total liability to you for any claim arising out of these terms or your use of the Site or Products is limited to the amount you paid us for the relevant Product in the twelve months before the claim arose.
We are not liable for indirect or consequential losses, including loss of profits, loss of business, loss of data, or loss of goodwill.
Nothing in these terms limits our liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be limited or excluded under applicable law.
13. Service availability
We aim to keep the Site and the Hosted Product available, but we do not guarantee uninterrupted availability. We may need to take services down for maintenance, updates, or because of issues outside our control. Where reasonably practical we will give advance notice of planned downtime.
14. Changes to these terms
We may update these terms from time to time. The version that applies to your purchase is the one in force at the time of the order. Material changes that affect existing licence holders will be communicated by email where we have your address.
15. Governing law
These terms are governed by the laws of England and Wales. Any dispute will be subject to the exclusive jurisdiction of the courts of England and Wales, except that consumers based elsewhere in the UK may bring proceedings in their local courts.
